Terms of Service

1. Agreement to Terms
By accessing or using Cerboard (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Cerboard is a client onboarding platform for web design and development agencies. The Service allows you to:
- Build reusable onboarding checklists and templates
- Send a single secure link that lets your clients submit files, brand assets, copy, logins, and answers without creating an account
- Send automatic reminders and completion notifications
- Track onboarding progress from a dashboard
3. Account Registration
To use certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activity under your account
You must be at least 18 years old to create an account and use the Service.
4. Subscription and Payments
Plans
Cerboard offers a free plan with limited usage, as well as paid plans (Essentials and Elite) with higher limits and additional capabilities. Plan details and pricing are shown at checkout and on our pricing page, and may change over time.
Billing
Paid subscriptions are billed monthly at the rate displayed at checkout. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period. We do not provide refunds for partial billing periods unless required by law.
5. Acceptable Use
You agree not to use the Service to:
- Violate any laws or regulations
- Infringe on the intellectual property or privacy rights of others
- Distribute spam, malware, or harmful content
- Harass, abuse, or harm others
- Impersonate any person or entity
- Attempt to gain unauthorized access to the Service or its systems
- Use the Service for any illegal or unauthorized purpose
6. Client Data and Your Responsibilities
You may use Cerboard to collect information from your own clients. You are responsible for ensuring that you have the right and any necessary consent to collect, store, and process that information through the Service, and for complying with applicable privacy and data protection laws. You agree not to use the Service to collect data you are not permitted to handle. As described in our Privacy Policy, you act as the data controller for your clients’ information and Cerboard acts as your processor.
7. Content and Intellectual Property
Your Content
You and your clients retain ownership of the content submitted through the Service. By using the Service, you grant us a limited license to host, store, process, and display that content as necessary to provide the Service to you.
Our Intellectual Property
The Service, including its software, design, and branding, is owned by Cerboard and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without our prior written permission.
8. Third-Party Services
The Service relies on third-party providers, including Supabase, Stripe, and Resend, to function. Your use of the Service may be subject to those providers’ terms, and we are not responsible for their acts or omissions.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice, and we are not liable for any such change.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERBOARD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
12. Indemnification
You agree to indemnify and hold harmless Cerboard and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
We may suspend or terminate your account and access to the Service immediately, without prior notice, for any reason, including a breach of these Terms. Upon termination, your right to use the Service will cease. Provisions that by their nature should survive termination will survive.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms and updating the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Cerboard operates, without regard to its conflict of law provisions.
